Terms and Conditions of Use
Use of Cyber Security Integrators, LLC (“CSI”) products and services (“Services”) is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms and Conditions of Use”). Your use of the Services constitutes your agreement to all of the Terms and Conditions of Use. You agree to familiarize yourself with the Terms and Conditions of Use, and abide by them if you choose to use the Services to which they apply.
Except as expressly agreed herein, you may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained via the Services.
Any controversy or claim arising out of or relating to the Terms and Conditions of Use, or the Services, except for actions by CSI for payment, shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association in the county and state of the principal office of CSI at the time of such, applying the laws of the U.S. State of New Hampshire. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. Any award rendered by the arbitrator shall be final and binding, and judgment may be entered on it in any court of competent jurisdiction in the county and state of the principal office of CSI at the time such award is rendered, in Salem in the U.S. State of New Hampshire, or as otherwise provided by law.
Use of the Services is unauthorized in any jurisdiction that does not give effect to all provisions of the Terms and Conditions of Use, including without limitation this paragraph.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and CSI as a result of use of the CSI Web site or the existence of the Terms and Conditions of Use.
Use of the Services is subject to existing laws and legal process, and nothing contained herein shall limit CSI’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Services or information provided to or gathered by CSI with respect to such use. If any part of the Terms and Conditions of Use is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth below, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
A printed version of the Terms and Conditions of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Services or the Terms and Conditions of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
Any rights not expressly granted herein are reserved.
The Terms and Conditions of Use represent the entire understanding relating to the use of the Services, and prevail over any prior or contemporaneous, conflicting or additional, communications. CSI can revise the Terms and Conditions of Use at any time. Any changes will be communicated to you via e-mail notification. Such notification will highlight the changes made.
Use of Consulting Reports
All consulting reports or any other such material that CSI may from time to time produce (“Reports”) are for the express internal use of the client and the company or organization authorizing the project. Clients will not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services contained in the Reports. Any third party information contained in the Report is considered referenced material and use of said material is contingent on the conditions of use set forth by the authoring party.
Deliverables Provided by CSI
Permission to use documents (including white papers, articles, reports, but not Software) (“Deliverables”) provided via the Services is granted for clients’ internal reference purposes only. Use of such Deliverables is for client use only, and may not be copied or posted on any externally accessible network computer or broadcast in any media. Use for any other purpose is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.
Deliverables specified above do not include the design or layout of the CSI Web site. Elements of the Web site are protected by trade dress and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound or image from this Web site may be copied or retransmitted unless expressly permitted by CSI.
All Services are provided on an “as is” basis. CSI disclaims all warranties, express or implied, statutory or otherwise, including, without limitation, any implied warranties or merchantability of fitness for a particular purpose. The information in the Deliverables has been obtained from sources that CSI believes to be reliable. All Deliverables speak as of the date of delivery to the client. CSI has no obligation to advise client of any change in the information or views contained in the deliverables.
Limitations of Liability
Neither party shall be liable for any consequential, indirect, special or incidental damages, such as damages for lost profits, business failure or loss arising out of use of the Deliverables or the Services, whether or not advised of the possibility of such damages. Except for liability for personal injury or death or for damage to property caused by the negligence or willful misconduct of CSI or its employees, CSI’s total liability arising out of these Terms and Conditions of Use and the provision of the Services shall be limited to the fee paid by Client under the Statement of Work under which such liability arises.
